Xoveni Terms & Conditions
Last Updated: September 1, 2026
These Terms & Conditions (“Terms”) govern your access to and use of Xoveni, including our website, client portal, social media marketing services, wallet, APIs, reseller and child-panel services, CRM tools, communication channels, automation features, and any other products or services made available through Xoveni (collectively, the “Services”).
Throughout these Terms, “Xoveni”, “we”, “us”, and “our” refer to the Xoveni platform and the operator of the Services.
By accessing the website, creating an account, adding funds, placing an order, using our API, operating a reseller or child panel, or otherwise using any part of the Services, you confirm that you have read, understood, and agreed to these Terms.
If you do not agree to these Terms, you must not use the Services.
These Terms should be read together with our Privacy Policy, Refund Policy, and any service-specific descriptions or policies displayed on the platform. In the event of a conflict, a service-specific rule displayed at the time of order may apply to that particular service, subject to applicable law.
1. Eligibility
- You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, and legally capable of entering into a binding agreement to use Xoveni.
- If you use Xoveni on behalf of a company, agency, client, reseller, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
- You may not use Xoveni where doing so would violate applicable law, sanctions, export restrictions, court orders, or other legal prohibitions.
- We may request identity, business, ownership, payment, or other verification where reasonably necessary for fraud prevention, security, legal compliance, large transactions, refund processing, or account recovery.
2. Account Registration and Security
- You must provide accurate, current, and complete information when creating and maintaining your account.
- You are responsible for all activity conducted through your account, including activity performed through your password, API key, reseller panel, staff account, or other credentials.
- You are responsible for protecting your account credentials and must not knowingly disclose passwords, API keys, two-factor authentication codes, or other security credentials to unauthorized persons.
- If you believe your account has been compromised, you must notify Xoveni as soon as reasonably possible.
- We may temporarily restrict access where we detect unusual login activity, suspected fraud, abuse, compromised credentials, excessive API usage, or other security concerns.
- Except where expressly permitted for legitimate agency or reseller operations, creating multiple accounts for the purpose of abusing promotions, payment bonuses, referral programs, restrictions, or account limits is prohibited.
3. Description of the Services
- Xoveni provides access to social media marketing and digital promotion services that may include, depending on availability, followers, subscribers, likes, views, reactions, comments, shares, saves, impressions, reach, members, traffic, engagement, live-stream activity, and other digital marketing services.
- Services may be available for platforms including, but not limited to, Instagram, Facebook, TikTok, YouTube, X/Twitter, Threads, Telegram, Discord, LinkedIn, Twitch, and other online platforms.
- Xoveni may also provide API access, prepaid wallet functionality, reseller tools, child panels, provider synchronization, order automation, payment-processing integrations, customer support tools, webhooks, CRM functionality, web chat, email integration, messaging-platform integrations, AI-assisted support functionality, analytics and reporting, and other related SaaS features.
- Individual service descriptions form part of these Terms.
4. Independent Service and Third-Party Platforms
- Xoveni is an independent service.
- Unless expressly stated otherwise, Xoveni is not affiliated with, sponsored by, endorsed by, operated by, or officially connected with Instagram, Meta, Facebook, TikTok, YouTube, Google, Telegram, Discord, X, LinkedIn, Twitch, or any other third-party social media platform.
- Third-party platforms control their own systems, algorithms, policies, moderation standards, and technical infrastructure.
- Those platforms may change their rules, detection systems, APIs, algorithms, account requirements, or technical behavior at any time.
- Such changes may affect service availability, delivery speed, retention, refill eligibility, account visibility, reach, engagement, service quality, or whether a particular service can continue to operate.
- Xoveni does not control these changes.
5. Compliance With Third-Party Platform Rules
- You are responsible for understanding and complying with the rules, policies, terms, and applicable laws governing every third-party platform that you use.
- Some third-party platforms may restrict or prohibit certain forms of paid, incentivized, or artificial engagement.
- Your purchase of a service from Xoveni does not constitute a representation that the activity is permitted by the relevant third-party platform.
- You assume responsibility for determining whether your intended use is appropriate and permitted.
- Xoveni is not responsible for platform actions including suspension, shadow restrictions, reduced reach, content removal, demonetization, verification refusal, account limitations, or termination resulting from your use of the Services or from third-party platform policies.
6. Service Descriptions
- You must review the description of a service before ordering.
- Service descriptions may specify minimum quantity, maximum quantity, estimated start time, estimated delivery speed, refill availability, refill period, target geography, quality characteristics, retention expectations, service restrictions, whether cancellation is available, and other requirements.
- The description shown at the time you place an order forms part of your order agreement.
- Different services may have materially different characteristics even when they target the same platform or metric.
7. Delivery Times Are Estimates
- Any start time, speed, completion time, average delivery time, or estimated time displayed on Xoveni is an estimate unless expressly stated to be guaranteed.
- Actual delivery may be affected by provider capacity, platform changes, API availability, target size, geographic conditions, account restrictions, queue volume, and other circumstances outside our reasonable control.
- A processing order is not automatically eligible for cancellation or refund solely because it has exceeded an estimated delivery time.
- Where an order is materially delayed, you may contact Support for review.
8. Customer Responsibility Before Ordering
- Before submitting an order, you must verify all information including the selected service, target URL, username, post URL, profile URL, quantity, starting count, and any other requested information.
- You are responsible for mistakes in information submitted by you.
- Orders sent to the wrong URL, username, account, post, page, video, channel, or other destination may not be recoverable once processing begins.
- Xoveni is not required to refund an order where the service was delivered to the target information submitted by the customer.
9. Public Account Requirement
- Where a service requires access to publicly visible content or statistics, the target account, profile, post, page, video, or other content must remain publicly accessible during processing.
- Unless a service explicitly states otherwise, you should not provide your social media password to Xoveni.
- If a target becomes private, deleted, suspended, restricted, or otherwise inaccessible during delivery, the order may be delayed, partially completed, cancelled, or become ineligible for refill.
10. Username, URL and Content Changes
- You must not change a username, target URL, post URL, channel identifier, or other order destination while an order is active.
- Deleting or substantially altering the target content during delivery may interfere with provider tracking.
- Such actions may make cancellation, completion verification, refill, or refund impossible.
11. Duplicate and Overlapping Orders
- You must not place multiple active orders for the same service and same target before the previous order has completed, unless the service expressly permits concurrent orders.
- Overlapping orders can interfere with start counts, end counts, and delivery tracking.
- Where duplicate orders prevent accurate measurement, Xoveni may be unable to provide a refund or refill.
- Different services may be ordered for the same target, but services affecting the same underlying metric may interact with each other.
- You are responsible for reviewing the service descriptions and avoiding incompatible combinations.
- Orders simultaneously placed through another SMM provider or panel may also interfere with delivery measurement.
12. Start Counts and Organic Activity
- Certain services calculate delivery based on a recorded starting count and later observed counts.
- Organic growth, activity from another provider, advertising campaigns, platform corrections, or other external changes may affect those counts.
- Where technically necessary, those changes may be included in the provider's calculation of delivered quantity.
- Xoveni cannot always distinguish organic activity from third-party or externally generated activity.
13. Maximum and Minimum Order Quantities
- Every service may have minimum and maximum order limits.
- You must remain within those limits.
- Attempts to circumvent service limits by splitting, duplicating, or automating orders may result in failed orders, inaccurate delivery, or account restrictions.
14. Order Statuses
- Order statuses are operational indicators and may include statuses such as Awaiting, Pending, In Progress, Processing, Completed, Partial, Cancelled, Error, or similar terminology.
- A “Completed” status generally indicates that the upstream system has reported completion of the requested delivery process.
- A Completed status does not guarantee permanent retention or a particular commercial result.
- A “Partial” status generally means that only part of the requested quantity could be delivered.
- When supported by the system, the unused portion of a partial or cancelled order may be credited back to your Xoveni wallet.
15. Cancellation
- Orders cannot necessarily be cancelled after submission.
- Cancellation availability depends on the service and upstream provider.
- A cancellation request does not guarantee that an order can be stopped.
- If an eligible cancellation is accepted before full delivery, the unused portion may be returned to your Xoveni account balance.
- Completed portions remain chargeable.
16. Partial Orders
- If only part of an order can be delivered, Xoveni may mark the order as Partial.
- Where applicable, the amount corresponding to the undelivered quantity will be returned to your Xoveni account balance.
- A partial order does not normally entitle the customer to a cash refund for the portion already successfully delivered.
17. Refill Services and Drop Guarantees
- A refill guarantee applies only where a service expressly states that refill is included.
- Different services may have different refill periods.
- A refill guarantee does not mean that delivery will never drop.
- It means eligible losses may be replaced within the applicable refill period, subject to provider availability and service rules.
- A refill may be unavailable where the refill period has expired, the target has become private, the username or link has changed, the content has been deleted, the account has been suspended, the customer placed overlapping orders, the customer used another provider for the same metric, the original order cannot be accurately measured, or the service was explicitly sold as “No Refill”.
- Refills generally restore the eligible missing quantity up to the original ordered amount and do not create an entitlement above the original order quantity.
18. No Guarantee of Permanent Results
- Unless expressly stated in a service description, Xoveni does not guarantee permanent followers, likes, views, subscribers, members, reactions, or other engagement.
- Drops may occur due to platform cleanup, algorithm changes, account deletion, spam detection, provider changes, or other circumstances.
- Natural drops outside an applicable refill guarantee are not automatically grounds for refund.
19. No Guarantee of Business or Algorithmic Results
- Xoveni does not guarantee that use of the Services will produce sales, revenue, profit, monetization, verification, search ranking, social ranking, organic reach, recommendation placement, viral growth, sponsorship, brand partnerships, advertising eligibility, or any specific algorithmic benefit.
- Marketing performance depends on many factors beyond Xoveni's control.
20. Pricing
- Prices may change at any time.
- Pricing may change due to upstream provider costs, currency movements, platform changes, service availability, market conditions, or other operational factors.
- Price changes generally apply to future orders and do not retroactively change the price of an order already accepted.
- Xoveni may apply different pricing to different account types, customer levels, or reseller arrangements.
21. Currency and Exchange Rates
- Xoveni's internal base currency may differ from the display currency selected by a customer.
- Customer-facing currency conversions may be based on market exchange-rate feeds and may include an exchange-rate margin.
- Exchange rates may update periodically and are not guaranteed to match bank, card-network, central-bank, real-time trading, or payment-processor rates.
- Payment providers may apply their own conversion rates and fees.
- The final amount charged by a payment provider may therefore differ slightly from a displayed conversion.
22. Payments and Account Balance
- Xoveni operates primarily using a prepaid account-balance or wallet system.
- You must maintain sufficient available balance before placing an order.
- Funds credited to your Xoveni balance are intended to purchase Services.
- A Xoveni wallet is not a bank account, savings account, or investment account and does not accrue interest.
- Except where permitted under our Refund Policy or required by law, wallet balances are not automatically withdrawable, redeemable for cash, or transferable between accounts.
23. Payment Methods
- Available payment methods may include, when enabled, credit or debit cards, Stripe, PayPal, bank transfer, manual transfer, cryptocurrency or Binance-related payment methods, and other third-party processors.
- Available methods vary by country, account, and currency.
- Third-party payment providers may impose additional terms, fees, limitations, and verification requirements.
24. Payment Verification
- Xoveni may delay or withhold wallet credit while a payment is being verified.
- Manual payment methods may require proof of payment.
- Submitting false, altered, or fraudulent payment evidence is prohibited.
- Xoveni may request additional information where payment ownership or legitimacy is uncertain.
25. Payment Fees
- Payment methods may include percentage fees, fixed fees, currency-conversion charges, or other costs.
- Where applicable, such fees will be displayed before the transaction is completed or otherwise disclosed through the payment method.
- Fees charged directly by a bank, card issuer, blockchain network, or other third party are outside Xoveni's control.
26. Taxes
- Unless expressly stated otherwise, prices may not include all taxes applicable in your jurisdiction.
- You are responsible for taxes, duties, VAT, GST, withholding, or similar obligations that apply to your purchase or resale activities, except where Xoveni is legally required to collect or remit them.
27. Deposit and Promotional Bonuses
- Xoveni may offer bonuses, promotional credits, referral credits, or deposit incentives.
- Promotional or bonus balances may have separate eligibility rules, may not be redeemable for cash, may be removed when processing a withdrawal or payment refund, may expire where the applicable promotion expressly states an expiration period, and may be revoked in cases of fraud or abuse.
- Creating multiple accounts or manipulating deposits to obtain duplicate bonuses is prohibited.
28. Refunds
- Refund eligibility is governed by these Terms and the Xoveni Refund Policy.
- Undelivered portions of eligible cancelled or partial orders may be returned to the Xoveni wallet.
- Successfully delivered portions are not normally refundable.
- Completed orders are normally non-refundable.
- Incorrectly submitted orders are normally non-refundable.
- Natural drops are handled under the applicable refill rules rather than automatic cash refunds.
- Where a cash refund is approved, it will normally be returned to the original payment method where technically possible.
- Third-party transaction fees, network fees, exchange losses, and payment-processing charges may be non-refundable.
- Nothing in these Terms limits any refund right that cannot legally be excluded.
29. Digital Services and Consumer Cancellation Rights
- Many Xoveni Services begin processing immediately after an order is submitted.
- Where applicable consumer law provides a cancellation or cooling-off period for digital services, you expressly request immediate performance when submitting an order.
- To the extent legally permitted, once performance has begun or the digital service has been fully performed with your consent, statutory cancellation rights may be reduced or lost.
- Mandatory consumer rights that cannot legally be waived remain unaffected.
30. Chargebacks and Payment Disputes
- If you experience a payment or service problem, please contact Xoveni Support before initiating a chargeback or payment dispute.
- You agree not to initiate a chargeback for a transaction that you authorized and that Xoveni substantially performed as agreed.
- Fraudulent or abusive chargebacks may result in account suspension, temporary order suspension, a negative account balance, loss of promotional credits, restriction of payment methods, or account termination.
- Xoveni may provide order records, login data, payment records, and delivery evidence to payment processors when contesting a dispute.
- This section does not restrict your rights regarding genuinely unauthorized transactions or any rights that cannot be waived under applicable law.
31. Negative Balances
- Your account may become negative as a result of payment reversals, chargebacks, refund reversals, reseller subscription fees, manual balance corrections, or other valid adjustments.
- Xoveni may restrict new orders or suspend account functionality until the negative balance is resolved.
32. Upstream Providers
- Many Xoveni services are fulfilled by independent third-party upstream providers through automated APIs.
- Xoveni may route orders to third-party infrastructure or substitute an upstream source where reasonably necessary to maintain service availability, provided that the replacement is intended to be materially consistent with the purchased service.
- Upstream providers may experience delays, maintenance, service cancellations, rate changes, API failures, delivery variations, or platform restrictions.
- Xoveni will use commercially reasonable efforts to manage such disruptions but cannot guarantee uninterrupted performance by third parties.
33. API Access
- Xoveni may provide API access to eligible accounts.
- API users are responsible for keeping API keys confidential, validating orders before submission, maintaining sufficient balance, complying with API limits, monitoring responses and errors, and implementing appropriate security.
- An API order is treated the same as an order submitted manually through the website.
- You are responsible for orders created using your API credentials.
- Do not place API keys in publicly accessible source code, repositories, or client-side applications.
- Xoveni may rate-limit, suspend, or revoke API access where traffic is abusive, malformed, excessive, fraudulent, or poses a security or stability risk.
34. API Changes
- Xoveni may update, extend, restrict, or deprecate API endpoints.
- Where reasonably practical, we may provide notice of material changes.
- You are responsible for maintaining your own integrations.
- We are not liable for losses caused by failure to update a third-party integration following a documented API change.
35. Webhooks
- Where Xoveni provides outbound webhooks, you are responsible for maintaining a valid, secure, and available endpoint.
- Webhook payloads may contain sensitive operational information.
- Where webhook authentication, signatures, or verification mechanisms are provided, you are responsible for using them appropriately before relying on a webhook payload.
- Delivery attempts may be retried according to system configuration, but Xoveni does not guarantee unlimited retries or guaranteed delivery.
- Your systems should be designed to tolerate duplicate webhook events and temporary delivery failures.
36. Resellers
- Users may use Xoveni Services for legitimate resale or agency operations where such use is supported by their account.
- A reseller operates as an independent business.
- Unless expressly agreed otherwise, Xoveni has no direct contractual relationship with a reseller's end customers.
- The reseller is responsible for its own customers, pricing, marketing claims, terms and conditions, privacy disclosures, refund policy, taxes, customer support, and disputes or chargebacks from its customers.
- A reseller must not promise guarantees that exceed the guarantees provided by Xoveni for the underlying service.
37. Child Panels
- Xoveni may allow eligible users to create and operate reseller or child panels.
- A child panel may include separate branding, domain settings, customer accounts, pricing, CRM configuration, and other reseller functionality.
- Child-panel availability may be subject to a recurring subscription fee, setup fee, or applicable plan.
- The reseller is responsible for maintaining its domain, DNS configuration, brand materials, legal pages, customer communications, payment arrangements, staff accounts, customer support, and compliance with applicable law.
38. Child-Panel Subscription Billing
- Where a reseller or child-panel plan has recurring charges, applicable fees will be deducted or charged according to the billing schedule displayed when the plan is purchased.
- Failure to maintain sufficient funds or pay an applicable subscription may result in payment retry, limited functionality, temporary suspension, or suspension of the child panel.
- Suspension does not automatically delete the reseller's data.
- Restoration may require payment of all outstanding fees.
- Xoveni may modify child-panel pricing or plan features for future billing periods by providing notice through the platform where reasonably practical.
39. Reseller End Customers
- End users of a reseller or child panel are customers of that reseller unless Xoveni expressly states otherwise.
- Resellers are solely responsible for representations made to their customers.
- A customer's dispute with a reseller does not automatically create a claim against Xoveni.
- Xoveni may nevertheless investigate downstream activity where required for security, fraud prevention, legal compliance, or platform integrity.
40. Downstream Abuse
- A reseller is responsible for activity routed through its Xoveni account or child panel.
- If a reseller's end customer engages in fraud, prohibited content, payment abuse, API abuse, or another serious violation, Xoveni may treat the activity as a violation associated with the reseller account.
- We may require a reseller to suspend or remove an abusive downstream customer.
- Repeated failure to address downstream abuse may result in restriction or termination of reseller or child-panel functionality.
41. CRM and Unified Inbox
- Xoveni may provide omnichannel CRM functionality that aggregates communications from supported channels such as Email, Web Chat, Support Tickets, WhatsApp, Facebook Messenger, Instagram, Telegram, and other integrations.
- Availability depends on configuration, credentials, third-party APIs, and third-party platform policies.
- Some channels or features may not be available in all countries, accounts, subscription plans, or configurations.
42. Communication Channel Credentials
- You are responsible for obtaining and maintaining all accounts, API credentials, tokens, permissions, and approvals necessary to connect third-party communication channels.
- You authorize Xoveni to use such credentials to process communications on your behalf as necessary to provide the Services.
- Third-party platforms may revoke or expire credentials at any time.
- Xoveni is not responsible for interruptions caused by invalid, expired, suspended, or revoked third-party credentials.
43. Communications Compliance
- You are responsible for ensuring that emails, messages, and communications sent through Xoveni comply with applicable anti-spam laws, marketing-consent requirements, privacy laws, telecommunications regulations, and third-party messaging-platform policies.
- You must not use Xoveni to send unsolicited bulk messages, unlawful marketing, phishing, or deceptive communications.
- You are responsible for obtaining any consent or authorization required before contacting recipients.
44. CRM Customer Data
- When you use Xoveni's CRM tools to process information belonging to your customers or contacts, you are responsible for determining your legal basis to collect, store, and process that information.
- Where appropriate, a reseller or business user may act as a data controller and Xoveni may act as a service provider or processor, subject to applicable privacy documentation.
- You must not upload personal information that you are not legally permitted to process.
45. AI-Assisted Features
- Xoveni may offer AI-assisted functionality, including automated message generation, support suggestions, knowledge-base retrieval, or other machine-assisted responses.
- AI-generated output may be inaccurate, incomplete, outdated, or inappropriate.
- You are responsible for reviewing automated output before relying on it where human review is reasonably necessary.
- AI functionality should not be relied upon as a substitute for professional legal, medical, financial, or other regulated advice.
- Xoveni does not guarantee that AI-generated output will be error-free or suitable for a particular purpose.
46. Knowledge Base and RAG
- If you enable AI knowledge-base or retrieval-augmented generation functionality, you are responsible for the accuracy, legality, and suitability of the information you provide to that knowledge base.
- Responses may reflect outdated or incorrect source material if your knowledge base is not maintained.
- You are responsible for removing materials that you no longer have the right to use or process.
47. User Content
- You retain ownership of content that you lawfully submit to Xoveni.
- You grant Xoveni a limited right to store, process, transmit, reproduce, and display that content as reasonably necessary to provide, secure, maintain, and improve the Services.
- You represent that you have the legal right to use and submit all content, account identifiers, logos, trademarks, images, contact data, and other materials that you provide.
- You are responsible for ensuring that your submitted content does not infringe the rights of third parties.
48. Intellectual Property
- The Xoveni website, software, branding, interface, code, design, documentation, and other proprietary materials are owned by or licensed to Xoveni and are protected by applicable intellectual-property laws.
- You may not copy, reverse engineer, redistribute, sublicense, resell the software itself, remove proprietary notices, or create unauthorized derivative products except where expressly permitted by law or a separate written agreement.
- Access to reseller or child-panel functionality does not transfer ownership of the underlying Xoveni software or technology.
49. Third-Party Trademarks
- Names, logos, and trademarks belonging to social media platforms and other third parties remain the property of their respective owners.
- Reference to a platform is descriptive and does not imply endorsement, sponsorship, or affiliation.
50. Prohibited Uses
- You must not use Xoveni to violate any applicable law.
- You must not facilitate fraud or use stolen payment methods or identities.
- You must not impersonate another person, company, or government authority.
- You must not conduct phishing, distribute malware, attack, exploit, or disrupt systems.
- You must not circumvent security controls, scrape Xoveni without authorization, or abuse APIs.
- You must not harass or threaten others.
- You must not promote illegal goods or services or unlawful hate or violence.
- You must not infringe intellectual-property rights.
- You must not manipulate promotions or account balances.
- You must not submit malicious URLs or misrepresent Xoveni services or guarantees.
- You must not interfere with the normal operation of the platform.
- You must not attempt unauthorized access to accounts, servers, databases, or administrative systems.
- You must not use automated systems in a manner that creates unreasonable load or disruption.
- You must not otherwise use the Services in a manner that creates material legal, security, reputational, or operational risk.
51. Authorized Targets
- You are responsible for ensuring that you have sufficient authorization to promote, manage, or submit orders involving a particular account, profile, brand, client, or piece of content where authorization is legally required.
- You must not knowingly use Xoveni to impersonate, sabotage, target, or maliciously manipulate an unrelated third party.
52. Service Availability
- We aim to keep Xoveni available, but uninterrupted operation is not guaranteed.
- Xoveni may be temporarily unavailable because of maintenance, updates, server outages, provider outages, payment-provider outages, API failures, network problems, cyber incidents, third-party platform changes, or events beyond our reasonable control.
- Maintenance and reasonable technical interruptions do not automatically create a right to compensation.
53. Changes to Services
- Xoveni may add, remove, rename, suspend, or modify services or features.
- Specific SMM services may disappear without advance notice where an upstream provider or social platform makes continued operation impossible, unavailable, or commercially unreasonable.
- Xoveni may replace a discontinued service with another service having similar characteristics where appropriate, but is not required to do so.
54. Account Suspension
- Xoveni may restrict or suspend an account where we reasonably believe there is fraud, chargeback abuse, payment abuse, security compromise, API abuse, prohibited use, legal risk, sanctions risk, system abuse, serious violation of these Terms, or activity that threatens Xoveni, providers, users, or third parties.
- We may conduct an investigation before restoring access.
- During an investigation, certain account features, payments, withdrawals, orders, API access, or reseller functionality may be temporarily restricted.
55. Account Termination
- Xoveni may terminate accounts for serious or repeated violations.
- Where legally and technically appropriate, legitimately owned remaining funds may be handled according to the Refund Policy after deductions for valid debts, chargebacks, fraudulent transactions, promotional credits, or other lawful adjustments.
- Funds associated with fraud, abuse, payment disputes, or unlawful activity may be frozen, withheld, or returned where required by law, payment providers, or applicable financial institutions.
56. Closing Your Account
- You may request account closure through the available account settings or Support.
- Outstanding orders, payment disputes, chargebacks, subscription obligations, legal obligations, or security investigations may need to be resolved before closure is completed.
- Certain records may be retained after account closure where legally required or reasonably necessary for accounting, fraud prevention, dispute handling, security, enforcement of these Terms, or other legitimate purposes.
57. Privacy
- Use of Xoveni is subject to our Privacy Policy.
- The Privacy Policy describes the types of personal data we collect, the purposes for which it is processed, retention, cookies, third-party providers, and applicable privacy rights.
- You should review the Privacy Policy before using Xoveni.
58. Security
- Xoveni uses reasonable technical and organizational measures intended to protect the Services.
- No online service can guarantee absolute security.
- You are responsible for securing your own devices, passwords, API keys, connected accounts, domains, and third-party credentials.
- You must notify Xoveni promptly if you become aware of unauthorized access or a security issue affecting your Xoveni account.
59. No Warranty
- To the maximum extent permitted by applicable law, Xoveni and the Services are provided on an “as is” and “as available” basis.
- We do not warrant that the Services will be uninterrupted.
- We do not warrant that all errors will be corrected.
- We do not warrant that all third-party services will remain available.
- We do not warrant that all orders will retain indefinitely.
- We do not warrant that all delivery estimates will be achieved.
- We do not warrant that all integrations will remain compatible.
- We do not warrant that use of the Services will produce a specific business result.
- Nothing in this provision excludes warranties or rights that cannot legally be excluded.
60. Limitation of Liability
- To the maximum extent permitted by applicable law, Xoveni and its owners, employees, contractors, affiliates, providers, and agents will not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, revenue, business, opportunity, goodwill, data, traffic, followers, reach, advertising value, or reputation.
- We are not responsible for actions taken by third-party social platforms against your account.
- We are not responsible for loss caused by a customer's failure to follow a service description, maintain a public target, avoid overlapping orders, protect account credentials, or correctly submit order information.
- Where liability cannot legally be excluded, Xoveni's aggregate liability relating to an individual order will generally not exceed the amount you paid to Xoveni for the specific affected service, unless applicable law requires otherwise.
61. Indemnification
- To the extent permitted by law, you agree to indemnify and hold harmless Xoveni and its affiliates, employees, contractors, and service providers from third-party claims, losses, liabilities, and reasonable expenses resulting from your unlawful use of the Services, your violation of these Terms, your violation of another party's rights, content or data submitted by you, communications sent by you, or activity of customers operating through your reseller or child panel.
62. Sanctions and Restricted Regions
- Xoveni may refuse, restrict, or terminate Services where providing them would violate sanctions, export controls, trade restrictions, or other applicable laws.
- You represent that you are not using the Services on behalf of a person or entity prohibited from receiving them under laws applicable to the transaction or the Services.
63. Fraud Prevention
- Xoveni may use automated and manual systems to detect fraud, abuse, account takeover, unusual payment activity, and other risks.
- We may request verification before processing certain payments, refunds, account changes, reseller applications, or high-risk transactions.
- Failure to provide reasonably requested verification may result in delay, restriction, cancellation, or suspension where necessary to manage risk.
64. Force Majeure
- Xoveni will not be responsible for delay or failure caused by events outside its reasonable control, including internet outages, natural disasters, war, civil unrest, government actions, labor disruptions, power failures, cyberattacks, payment-network failures, upstream-provider outages, hosting or infrastructure failures, or third-party platform changes.
65. Electronic Communications
- By creating an account, you agree that notices regarding your account, payments, orders, security, and these Terms may be provided electronically through email, dashboard notifications, support tickets, or other electronic channels.
- Marketing communications will be subject to applicable consent requirements.
- You are responsible for maintaining an email address and contact information capable of receiving account-related notices.
66. Changes to These Terms
- We may update these Terms from time to time to reflect legal changes, new features, security requirements, service changes, payment changes, pricing or subscription changes, or operational requirements.
- The latest version will be posted on Xoveni with an updated “Last Updated” date.
- Where required by applicable law, we will provide additional notice of material changes.
- Continued use of Xoveni after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.
67. Assignment
- You may not assign or transfer your rights under these Terms without our written consent.
- Xoveni may assign or transfer its rights and obligations relating to the Services as part of a merger, acquisition, restructuring, asset transfer, business transfer, or other legitimate transaction, subject to applicable law.
68. No Waiver
- Failure by Xoveni to enforce a provision of these Terms does not waive our right to enforce that provision later.
- A waiver is effective only where expressly provided by Xoveni.
69. Severability
- If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the maximum extent permitted by law.
70. Entire Agreement
- These Terms, together with our Privacy Policy, Refund Policy, applicable service descriptions, and other policies expressly incorporated by reference, constitute the agreement between you and Xoveni concerning the Services.
- Service-specific descriptions, limitations, and guarantees displayed at the time of an order form part of the terms applicable to that order.
71. Mandatory Consumer Rights
- Nothing in these Terms excludes or limits liability, statutory protections, or consumer rights that cannot lawfully be excluded, waived, or limited.
- If a provision of these Terms conflicts with mandatory law applicable to you, the mandatory law will control only to the extent required.
72. Contact
- Questions concerning these Terms, your account, payments, orders, reseller services, or other Xoveni Services may be submitted through the Xoveni support system or by email.
- Email: support@xoveni.com
- Website: https://xoveni.com
Acceptance
- By registering an account, adding funds, submitting a payment, using the API, creating or operating a reseller or child panel, connecting CRM or communication channels, or placing an order through Xoveni, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
